01 Who we are

Digital Moran POS is built, hosted and supported by Digital Moran Agency, the commercial arm of the Digital Moran ecosystem, based at Sankale Building, next to OLA Petrol Station, Kimana, Kajiado South, Kenya. In these terms "we", "us" and "our" mean Digital Moran Agency. "You" means the business or person using the software.

02 What these terms cover

These terms apply to this website, to the demo shop at demo.digitalmoranpos.africa, and to any Digital Moran POS installation we provide to you — whether we host it or you run it on your own machine or server.

If we have also signed a written proposal, quotation or service agreement with you, that document governs anything it addresses specifically — scope, price, timelines, support hours. These terms cover everything it does not.

By using the software you accept these terms. If you do not accept them, please do not use it.

03 The demo shop

The demo is provided free of charge so that you can evaluate the software. It is loaded with sample data and shared with other visitors.

  • Do not enter real customer names, real phone numbers, real KRA PINs, real M-Pesa codes or any other genuine personal or business data into the demo.
  • Anything entered into the demo may be visible to other people evaluating the software, and may be reset or deleted at any time without notice.
  • The demo carries no availability commitment and no support commitment.

Please treat the demo as a public sandbox. We periodically wipe it back to sample data. Nothing you record there is retained, backed up or recoverable.

04 Accounts and operators

Digital Moran POS gives each person who uses the till their own operator account, with a role of administrator, supervisor or cashier. You are responsible for:

  • Creating an account for each individual, rather than sharing one login between staff — the audit trail is only meaningful if each person has their own.
  • Choosing the roles, branch assignments and discount ceiling that suit your shop.
  • Keeping PINs confidential, changing the default administrator PIN immediately after setup, and locking or deactivating an account when somebody stops working for you.
  • Everything done under your operators' accounts.

Tell us promptly if you believe an account has been compromised.

05 Your shop's data

Your products, prices, sales, expenses, staff records and customer records remain yours. We do not sell them, rent them, or use them to advertise to you or anyone else.

We process that data only in order to run the service for you, to keep backups, to diagnose a fault you have reported, and where the law requires it. How we handle personal data is set out in our Privacy Policy, which forms part of these terms.

The software includes a full export and backup function in the settings menu, and reports export to PDF. You can take your data out at any time, without asking us.

06 Availability and offline use

Digital Moran POS is designed to keep working when the internet does not. Sales, stock movements, receipts, credit entries and expenses are written to a local database on the terminal first, then queued and synchronised with the server when connectivity returns.

That design has consequences you should understand:

  • Data recorded offline exists only on that terminal until it syncs. If the device is lost, wiped, or its browser storage is cleared before syncing, that data is gone.
  • Figures shown on a terminal that has been offline for a while reflect what that terminal knows, not necessarily what every other branch has recorded.
  • We do not guarantee uninterrupted or error-free operation. Where we host the service we will make reasonable efforts to keep it available and to give notice of planned maintenance.

Keep terminals synchronised regularly, and keep your own backups.

07 Tax, VAT and KRA

The software can calculate VAT at a rate you configure, print your KRA PIN on receipts, and — where you have set up a KRA control unit — transmit invoices to eTIMS. These features are optional and are off unless you switch them on.

Tax compliance is your responsibility, not ours. We provide software tooling. We are not tax advisers, and using Digital Moran POS does not by itself make a business compliant with the Kenya Revenue Authority or any other regulator.

You are responsible for setting the correct VAT rate, for the accuracy of the PIN and figures you enter, for deciding whether eTIMS applies to you, and for filing your own returns. Please take professional advice about your obligations.

08 Payments and M-Pesa

Digital Moran POS records how a sale was paid for. It is not a payment processor and it does not move money.

  • M-Pesa till and paybill numbers are stored so they can be printed on your receipts. Customers pay Safaricom directly, exactly as they do today.
  • The M-Pesa SMS code or bank reference a cashier enters against a sale is a record for your own reconciliation. The software does not verify it with Safaricom or any bank.
  • Credit ("deni") balances, limits and repayments are your own bookkeeping. We take no part in collecting money owed to you and give no advice on lending.

Reconciling your till against your M-Pesa statement remains a task for your shop.

09 Fees and billing

Fees for setup, licensing, hosting, training and support are those set out in the written quotation or proposal we agree with you. Unless that document says otherwise:

  • Prices are quoted in Kenya Shillings and exclude any applicable taxes.
  • Invoices are payable within the period stated on the invoice.
  • We will give you at least 30 days' notice before changing a recurring fee.
  • If an account falls significantly overdue we may suspend hosted service after giving you written notice and a reasonable chance to settle. We will not delete your data during a suspension, and you may still export it.

10 Acceptable use

You agree not to:

  • Use the software to record or facilitate anything unlawful, including falsifying records, evading tax, or handling stolen or counterfeit goods.
  • Attempt to access another business's data, another operator's account, or any part of the system you have not been granted access to.
  • Probe, scan or attack the hosted service, or use it to distribute malware.
  • Resell, sublicense or redistribute the software as your own product without our written agreement.
  • Remove or obscure attribution, copyright or licence notices in the software.

We may suspend access immediately, with notice as soon as practicable, where continued use would cause harm to you, to us, or to other users.

11 Support and updates

Support channels, hours and response targets are those set out in your agreement with us. In its absence, support is provided on a reasonable efforts basis during Kenyan business hours through the contact details below.

We improve the software continuously. Updates may add, change or retire features. We will not remove a feature you depend on without reasonable notice, and we will not make a change that renders your existing data unreadable without providing a migration.

12 The AI assistant

The Moran Assistant is an optional feature. When you enable it, you choose which engine it runs on — Google Gemini, any OpenAI-compatible provider such as Groq or OpenRouter, or a model running entirely on your own machine through Ollama — and you supply the credentials for it.

  • When you point the assistant at a third-party provider, the shop information needed to answer your question is sent to that provider and handled under their terms and privacy policy. Choose accordingly.
  • Assistant output is generated text. It can be wrong. Treat it as a prompt for your own judgement, never as accounting, tax, legal or medical advice, and check the underlying figures before acting on them.
  • The assistant is not required. With no key configured it stays inactive and every other part of the software works normally.

13 Third parties we rely on

Where we host the service for you, it runs on infrastructure operated by third parties — including a cloud database provider and a web hosting platform, listed in our Privacy Policy. We choose them carefully, but we do not control them, and an outage or change on their side may affect the hosted service.

This is one of the reasons the software is offline-first: an upstream outage should not stop you from selling.

14 Intellectual property

We own the Digital Moran POS software, its interface, its documentation, and the Digital Moran name and marks. Your agreement with us grants you a non-exclusive, non-transferable right to use the software for your own business for as long as your agreement is in force.

Nothing in these terms transfers ownership of the software to you, and nothing transfers ownership of your shop's data to us.

15 Ending the service

You may stop using the software at any time. If we host for you, either of us may end a recurring arrangement by giving 30 days' written notice.

When an arrangement ends:

  • You keep the right to export your data, and we will give you a reasonable window — at least 30 days from the end date — in which to do so.
  • After that window we may delete your hosted data. Ask us in writing before the window closes if you need it kept longer.
  • Fees already invoiced for a period that has been served remain payable.

16 Liability

We provide the software with reasonable skill and care, and we stand behind our work. But there are limits to what software can be responsible for in a trading business.

  • Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
  • Subject to that, we are not liable for lost profits, lost sales, lost goodwill, tax penalties, or losses arising from decisions you took based on figures in the software.
  • Subject to that, our total liability arising out of the service in any twelve-month period is limited to the fees you paid us for the service in that period.
  • We are not liable for loss of data that had not synchronised from a terminal, for data lost because backups were not taken, or for the acts of your own operators.

Keep your own backups. The export function exists for exactly this reason.

17 Changes to these terms

We may update these terms as the software and the law change. The date at the top of this page always shows the current version. If a change materially affects your rights we will tell you directly — by email to the address on your account — before it takes effect. Continuing to use the software after that point means you accept the updated terms.

18 Law and disputes

These terms are governed by the laws of Kenya, and the courts of Kenya have jurisdiction over any dispute arising from them.

Before going to court, please talk to us. Most disagreements are a misunderstanding about scope or an expectation nobody wrote down, and both are quicker to fix over a call than in a filing.
